Terms and Conditions

1. SCOPE

The present Terms of Use (ToU) govern the use of the online platform FranchiseLab, operated by FranchiseLab SA, a company registered in Tunisia. By using the platform, the Brands, the Consultants, and the Entrepreneurs accept these ToU. The services offered by FranchiseLab include connecting Brands with Consultants for staffing on projects and with Entrepreneurs for the recruitment of affiliates.

2. DESCRIPTION OF SERVICES

FranchiseLab offers a marketplace for staffing professional “Consultants” and sourcing “Entrepreneur” candidates for “Brands”. Brands can post mission offers on the platform, and Consultants can apply for these offers. FranchiseLab also provides a recruitment service for Brands wishing to develop their franchise network. Brands can post localized franchise offers, and FranchiseLab will select potential candidates based on the selection criteria defined by the Brand.

3. OBLIGATIONS OF BRANDS, CONSULTANTS, AND ENTREPRENEURS

Brands undertake to provide accurate and complete information about their business, their mission offers, and their selection criteria for the recruitment of affiliates. Consultants and Entrepreneurs undertake to provide accurate and complete information about their professional experience, skills, and qualifications. Brands are responsible for selecting and hiring Consultants for their missions. FranchiseLab cannot be held responsible for the quality of services provided by Consultants.

4. OBLIGATIONS OF FRANCHISELAB

FranchiseLab undertakes to respect the confidentiality of information exchanged on the platform and not to disclose confidential information of Brands, Consultants, and Entrepreneurs to third parties without their prior consent. Brands, Consultants, and Entrepreneurs undertake to respect the confidentiality of information exchanged in the context of their projects.

5. CONFIDENTIALITY

FranchiseLab undertakes to provide quality services to Brands, Consultants, and Entrepreneurs. FranchiseLab will select potential candidates for the recruitment of affiliates based on the selection criteria defined by the Brand, but cannot guarantee the success of the recruitment.

6. INTELLECTUAL PROPERTY

All intellectual property rights to the platform and its content belong to FranchiseLab. Brands, Consultants, and Entrepreneurs may use the platform and its content only for their personal use and may not copy, distribute, or use the content for commercial purposes without the prior consent of FranchiseLab.

6. NON-COMPETITION

Brands, Consultants, and Entrepreneurs undertake not to use the FranchiseLab platform to promote or offer services similar to those offered by FranchiseLab, or to divert clients or users of the platform. Brands also undertake not to recruit directly or indirectly Consultants or Entrepreneurs with whom they have been put in contact via the FranchiseLab platform, for a period of 12 months following the end of their collaboration on a project or mission. In the event of a breach of this non-competition clause, the Brand, the Consultant, or the Entrepreneur in question will be liable for a penalty equal to 50% of the total amount invoiced for the project or mission concerned. Brands, Consultants, and Entrepreneurs undertake to inform FranchiseLab immediately if they discover a breach of this non-competition clause by another user of the platform.

8. LIABILITY

FranchiseLab cannot be held responsible for direct or indirect damages suffered by Brands, Consultants, or Entrepreneurs in the context of using the platform. Brands are responsible for damages caused to Consultants and Entrepreneurs in the context of their projects.

9. TERMINATION

Brands, Consultants, and Entrepreneurs may terminate their account at any time by sending a termination request to FranchiseLab. FranchiseLab may terminate the account of a Brand, a Consultant, or an Entrepreneur at any time and without notice in the event of a breach of these ToU.

10. APPLICABLE LAW AND JURISDICTION

These ToU are governed by Tunisian law. Any dispute arising from these ToU will be subject to the exclusive jurisdiction of the Tunisian courts.
